Welcome to KERI TECHNOLOGIES INC. ("the Company," "we," "us," or "our"). These Terms and Conditions, together with our Refund and Cancellation Policy, govern your use of our digital logistics platform. By accessing or using our services, you agree to be bound by these terms.
KERI TECHNOLOGIES INC. provides a digital platform that matches independent trucking service providers ("Service Providers") with clients seeking logistics services ("Clients").
The Company is not a transportation provider or a common carrier. We do not own trucks, nor do we employ drivers. All Service Providers are independent contractors.
No agency, partnership, or joint venture is created between the Company and any user.
All payment transactions are facilitated by PayMongo Philippines, Inc. ("PayMongo"), a licensed Electronic Money Issuer. The Company does not hold, store, or possess any funds.
Payment is held by PayMongo upon booking. Funds are released to the Service Provider only upon the Client's confirmation of milestone completion via the App (e.g., Cargo Delivered).
The Company is not responsible for technical failures of the PayMongo gateway, bank delays, or unauthorized use of credit cards/e-wallets.
The App is provided "as is." We do not guarantee that the App will be 100% error-free or that a truck will always be available.
In no event shall KERI TECHNOLOGIES INC. be liable for:
If the Company is found liable for any reason, our total liability is strictly limited to the Service Fee (Commission) collected by the Company for that specific transaction.
By using the App, users consent to the collection of personal data (Name, TIN, GPS Location) for the purpose of matching and security.
Users agree that their data will be shared with PayMongo for payment processing and KYC (Know Your Customer) verification as required by Philippine law.
Clients shall not use the service to transport illegal drugs, weapons, hazardous materials, or any items prohibited by Philippine law.
Clients are responsible for inspecting the truck and verifying the driver's identity before loading cargo.
In the event a Client claims a milestone has not been met or a Service Provider (the "Trucker") claims a milestone has been completed but payment remains withheld, either party may initiate a dispute through the Platform's "Dispute Support" feature within forty-eight (48) hours from the time the milestone status was updated.
Upon the filing of a formal dispute, KERI TECHNOLOGIES INC. shall issue an instruction to the Payment Processor (PayMongo) to suspend the release of the specific funds associated with the disputed milestone. Funds will remain in the secure digital hold of the Payment Processor until the dispute is resolved.
Both parties agree to undergo a mandatory internal mediation process facilitated by the Company. The Company will review evidence provided by both parties, including but not limited to:
Users agree that the Company's determination regarding the completion of a milestone—based on the evidence available through the Platform—shall be final and binding for the purpose of instructing the Payment Processor to either release the funds to the Trucker or return them to the Client.
Users acknowledge that KERI TECHNOLOGIES INC. is a technology intermediary and its role in dispute resolution is limited to facilitating a fair review based on available data. The Company shall not be liable for any indirect or consequential losses arising from the outcome of a dispute or the timing of fund releases by the Payment Processor.
This Agreement shall be governed by the laws of the Republic of the Philippines. Any legal action arising from unresolved disputes shall be filed exclusively in the proper courts of Silang, Cavite, to the exclusion of all other venues.

1.1. Fund Maintenance: Clients maintain a digital sub-ledger ("KERI Wallet") to facilitate instant bookings. Funds deposited into this wallet are held for future services.
1.2. Booking Commitments: Before accepting a booking, a Client must agree to the displayed rate. Upon acceptance, the total amount of the booking is "locked" or "earmarked" in the Client's KERI Wallet.
1.3. Remaining Funds: Any funds not used for a specific booking remain in the Client's Wallet and can be used for future transactions or withdrawn subject to the withdrawal terms in our general Terms and Conditions.
2.1. Before Dispatch: If a Client cancels a booking before a Service Provider has been dispatched or has accepted the job, a full refund of the locked amount will be credited back to the Client's Wallet.
2.2. After Dispatch/Acceptance: If a Client cancels after a Service Provider has accepted the job and is en route to the pickup location, a Cancellation Fee (10% of the booking rate) may be deducted to compensate the Service Provider for time and fuel. The remaining balance will be returned to the Client's Wallet.
2.3. On-Site Cancellation: If the Client cancels after the Service Provider has arrived at the pickup location, the Minimum Trip Fee shall be charged, and only the excess will be refunded to the Wallet.
3.1. Provider No-Show: If a Service Provider fails to arrive at the pickup location within the designated timeframe, the booking is automatically canceled, and a 100% refund of the locked funds will be returned to the Client's Wallet.
3.2. Technical Faults: If a delivery cannot be completed due to a mechanical failure of the truck, the Company will attempt to re-match the Client with a new provider. If no match is found, a full refund for the uncompleted portion of the trip will be issued.
4.1. Milestone-Based Disputes: If a milestone (e.g., Cargo Delivery) is marked as complete but is disputed by the Client, funds are held in the PayMongo escrow until the dispute is resolved.
4.2. Method of Refund: All refunds are primarily issued back to the KERI Wallet. If a Client requests a refund to their original payment method (e.g., Credit Card or GCash via PayMongo), it may take 5-10 business days depending on the bank's processing time.
4.3. Non-Refundable Items: Service fees or convenience fees charged by third-party payment gateways (like PayMongo) may be non-refundable depending on the specific transaction type.
This policy is drafted in accordance with the Philippine Consumer Act (RA 7394) and the Data Privacy Act of 2012. We reserve the right to investigate any refund requests for fraudulent activity before processing.
By using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and our Refund and Cancellation Policy. If you do not agree with any part of these terms, please do not use our services.
